1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Kshiyarise Technologies Pvt. Ltd. ("Kshiyarise," "we," "us," or "our").

By accessing or using our services, you agree to be bound by these Terms. If you do not agree, you may not use our services.

2. Our Services

2.1 Platform Description:

Kshiyarise provides a cloud-based Point of Sale (POS) platform for businesses to manage:

  • Organizations and branches
  • Users and roles
  • Products and inventory
  • Sales and invoicing
  • Subscriptions and billing

2.2 Free Trial:

New organizations receive a 45-day free trial with full access to all features. After the trial, you must subscribe to a paid plan to continue using the service.

2.3 Service Availability:

We strive for 99.9% uptime but cannot guarantee uninterrupted service. We'll notify you of scheduled maintenance in advance.

3. Your Account and Responsibilities

3.1 Account Security:

  • You are responsible for maintaining the confidentiality of your password
  • You must notify us immediately of any unauthorized access
  • You are responsible for all activities under your account
  • You must use a strong password (minimum 8 characters, mixed case, numbers)

3.2 Accurate Information:

You agree to provide accurate, current, and complete information during registration and to update it as necessary.

3.3 Prohibited Activities:

You agree NOT to:

  • Use the service for illegal purposes
  • Attempt to gain unauthorized access
  • Interfere with or disrupt the service
  • Upload malicious code or viruses
  • Abuse, harass, or spam other users
  • Violate intellectual property rights
  • Share your account with others
  • Scrape or automatically collect data

4. Subscriptions and Payments

4.1 Free Trial:

45-day free trial with no credit card required. After trial, choose a paid plan or account will be downgraded to read-only mode.

4.2 Paid Subscriptions:

  • Subscriptions are billed monthly or annually in advance
  • Prices are displayed on our Pricing Page
  • All fees are exclusive of taxes (GST, VAT, etc.)
  • Payments are non-refundable except as required by law

4.3 Cancellation:

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No partial refunds.

4.4 Price Changes:

We may change prices with 30 days advance notice. Continued use after notice constitutes acceptance of new prices.

5. Intellectual Property

5.1 Our Rights:

All content, features, and functionality (software, text, graphics, logos, designs) are owned by Kshiyarise and protected by copyright, trademark, and other laws.

5.2 Your Rights:

You retain ownership of your data (customer data, product data, etc.). We only process it to provide our services.

5.3 License:

We grant you a limited, non-exclusive, non-transferable license to use our service for your internal business purposes only.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Services are provided "AS IS" without warranties
  • We are not liable for indirect, incidental, or consequential damages
  • Our total liability is limited to fees paid in the last 12 months
  • We are not responsible for data loss (you should maintain backups)
  • We are not liable for third-party integrations or services

7. Indemnification

You agree to indemnify and hold Kshiyarise harmless from any claims, damages, losses, or expenses arising from:

  • Your use or misuse of the service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your violation of applicable laws

8. Termination

8.1 By You:

You may terminate your account at any time through Settings → Delete Account. Your data will be deleted after a 30-day grace period.

8.2 By Us:

We may suspend or terminate your account immediately if you:

  • Violate these Terms
  • Engage in fraudulent activity
  • Fail to pay subscription fees
  • Use the service in a way that harms us or others

9. Dispute Resolution and Governing Law

9.1 Governing Law:

These Terms are governed by the laws of India. For EU users, local consumer protection laws also apply.

9.2 Jurisdiction:

Courts in [Your City/State], India have exclusive jurisdiction, subject to your local rights.

9.3 Arbitration (India):

Disputes will be resolved through arbitration per the Arbitration and Conciliation Act, 1996.
